Acceptance of Terms

Access to and use of the website merity.co.mz and all services provided by Merity are subject to acceptance of these Terms and Conditions, as well as our Privacy Policy, which are an integral part of this document.

Acceptance occurs when the user:

  • Accesses or browses the Merity website
  • Fills out any contact form or service request
  • Signs a service agreement with Merity
  • Uses any digital platform developed or managed by Merity

Scope of Services

Merity is a Mozambican technology company specialized in developing custom digital solutions, focusing on innovation, efficiency, and impact. Our services include, without limitation:

  • Software Development — web applications, mobile apps, and management systems
  • Digital Consulting — digital transformation and technology strategy
  • Public Sector Solutions — information systems for government institutions
  • Social Impact Solutions — digital platforms for non-profit organizations
  • Automation and Optimization — tools for operational efficiency
  • Support and Technical Maintenance — continuous post-implementation assistance

Detailed descriptions of each service, as well as their specific terms, will be set out in a commercial proposal or contract signed between the parties.

Website Access and Use

Access to the Merity website is free and open to the public, except for restricted areas requiring authentication.

Availability

Merity will make its best efforts to ensure continuous availability of the website but does not guarantee that access will be uninterrupted or error-free. The website may be temporarily suspended for maintenance, updates, or for technical reasons beyond our control.

Acceptable Use

The user agrees to use the website exclusively for lawful purposes. It is expressly prohibited to:

  • Attempt unauthorized access to Merity's systems, accounts, or data
  • Perform cyberattacks or introduce viruses and malicious code
  • Collect data from website users without consent
  • Use the website for fraudulent, defamatory, or illegal purposes
  • Reproduce or redistribute content without prior written authorization

Intellectual Property

All content available on the Merity website — including text, images, logos, icons, graphics, videos, source code, interfaces, and design — is the exclusive property of Merity or third parties who have granted us a license for use, protected by Mozambican and applicable international law.

The reproduction, distribution, modification, or use of any content on this website for commercial purposes is expressly prohibited without prior written authorization from Merity.

Solutions Developed for Clients

Ownership rights over digital products developed by Merity for clients will be defined in the service agreement signed between the parties. In the absence of contractual provision, the provisions of Mozambican copyright law shall apply.

User Obligations

When using the Merity website and services, the user undertakes to:

  • Provide true, accurate, and up-to-date information when requested
  • Not use false or misleading identities
  • Respect Merity's and third parties' intellectual property rights
  • Comply with all applicable laws and regulations in Mozambique
  • Not interfere with the normal functioning of the website or Merity's systems
  • Maintain the confidentiality of access credentials to restricted platforms

Failure to comply with these obligations may result in suspension or termination of access to Merity's services, without prejudice to other legal rights.

Service Contracting

Contracting Process

  1. Submission of request or initial contact by the client
  2. Requirements gathering meeting
  3. Preparation and presentation of technical and commercial proposal
  4. Negotiation and approval of the proposal by the client
  5. Signing of service agreement
  6. Start of project execution

Proposal Validity

Commercial proposals presented by Merity are valid for 30 days from the date of issue, unless expressly stated otherwise in the proposal.

Scope Changes

Any changes to the agreed project scope will be formalized by contractual addendum, which may imply adjustments to the agreed deadlines and values.

Payments and Invoicing

Payment Terms

  • Values are quoted in Mozambican Metical (MZN), and may be agreed in other currencies
  • Larger projects may involve phased payment (down payment, interim installments, and final payment)
  • Full payment or the initial down payment is a condition for starting work, unless expressly agreed otherwise

Payment Delay

Delay in payment of invoices within the agreed deadlines may result in suspension of services, application of default interest under Mozambican commercial law, and/or termination of the contract at the client's expense.

Taxes

All quoted values are subject to applicable taxes in Mozambique, particularly VAT (Value Added Tax) at the legally applicable rate, unless exemptions apply.

Liability and Limitations

Merity's Liability

Merity undertakes to provide its services with the utmost rigor, competence, and dedication. Our liability is limited to the value of the contracted services directly related to the damage caused, under Mozambican law.

Exclusions of Liability

Merity is not liable for:

  • Damages resulting from improper or unauthorized use of delivered systems
  • Interruptions or failures of third-party services (hosting, domains, external APIs)
  • Data loss caused by hardware failures or acts of the client
  • Indirect damages, loss of profits, or loss of business opportunities
  • Content published by the client on platforms developed by Merity
The client is solely responsible for the content they publish and for the legality of their use of solutions developed by Merity.

Confidentiality

Both parties (Merity and client) undertake to keep strictly confidential all technical, commercial, strategic, or any other information designated as confidential or which by its nature should be considered as such.

This obligation remains in effect during the execution of the contract and for a minimum period of 3 years after its termination, unless otherwise agreed in the contract.

Excluded from this obligation are information that is in the public domain, obtained from third parties without breach of confidentiality, or whose disclosure is required by a competent judicial or administrative authority.

Personal Data Protection

The processing of personal data in the context of the relationship with Merity is governed by our Privacy Policy, in accordance with Law No. 24/2022 — Personal Data Protection Law of Mozambique.

By accepting these Terms and Conditions, the user acknowledges having read and accepted Merity's Privacy Policy, which is an integral part of this document.

The Merity website may contain links to third-party websites, provided solely for the user's convenience. Merity does not control, endorse, or assume responsibility for the content, privacy policies, or practices of external websites.

Changes to Terms and Conditions

Merity reserves the right to modify these Terms and Conditions at any time, including to reflect legal, regulatory, or service offering changes.

Changes take effect from the date of publication on the website. Continued use of the website or services after the publication of changes constitutes acceptance of the new terms.

For material changes, Merity will attempt to notify active clients by email in advance.

Applicable Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Mozambique, without prejudice to applicable private international law rules.

Amicable Resolution

In case of a dispute, the parties agree to seek an amicable resolution through direct negotiation as a first step, within 30 days of the dispute notification.

Competent Jurisdiction

If an amicable resolution is not possible, disputes shall be submitted to the exclusive jurisdiction of the Judicial Courts of Maputo, with express waiver of any other forum.

Merity encourages its clients and partners to use mediation and arbitration mechanisms available in Mozambique as an alternative to litigation.
